Terms and Conditions: Howell Electronic Services

Supplier:	Howell Electronic Services, a sole proprietorship registered and licensed in the State of Oregon, USA and located in Medford, Jackson County, Oregon.
Customer:	Any Company, Corporation, Person, Group, Government Agent, or Agency that has entered into, or seeks to enter into any agreement for Howell Electronic Services (Supplier) to provide products or services for a fee.
Acceptance:	By ordering, or seeking to order products or services from Supplier, Customer agrees to accept all definitions and abide by all terms and conditions stated herein.
Quotation:	A written estimate provided to Customer that outlines the cost (Fee) and the amount of time (Turn Time) needed to provide a product or service to Customer.
Fee:	The agreed upon price, in US dollars, that Customer shall pay to Supplier for products or services.
Turn Time:	Unless otherwise specified in writing, Turn Time is the amount of time in business days (Monday through Friday, except holidays) that Supplier is estimating will be needed to complete the agreed upon services or products and effect delivery to Customer. Day one of turn time shall be the first business day following receipt of order, in writing, from Customer, and/or receipt of all needed information such as component drawings or special instructions, which ever is later.
Invoice:	A statement of charges and fees that Customer has agreed to pay for products or services. Invoices shall be issued at the time of delivery of product and/or completion of service.
Payment:	Customer agrees to render payment for products or services within the time frame noted in the “Terms” section of the applicable Quotation and/or Invoice. Example: The term “Net 15” shall mean that Customer agrees to render full and complete payment within 15 calendar days of the date listed on the applicable invoice. Accepted methods of payment are by company check, certified bank draft, money order, or United States currency.
Additional Fees:	All invoices that fall delinquent in payment by ten or more calendar days, shall be, at Supplier’s sole discretion, subject to a 2% per month and/or $50.00 minimum late payment fee. All returned checks shall be subject to a $300.00 surcharge plus late payment fees.
Deposit:	At Supplier’s sole discretion, all orders for products or services may be subject to a deposit payment prior to commencement of work activity or product delivery. The level or percentage of any such deposit shall be determined by Supplier prior to acceptance of the order in question, and Supplier shall inform Customer in writing if this section is to be invoked and what level or percentage deposit is to be required.
Right of Refusal:	Howell Electronic Services reserves the right to refuse service to anyone.
Governing Laws	Customer agrees that the Definitions, Terms and Conditions contained herein shall be deemed to have been executed in, and shall be governed by and interpreted in accordance with the laws of the State of Oregon, and its conflict of laws law shall not apply. Venue for any action here under shall lie exclusively in Jackson County Superior Court in Medford, Oregon.
Privacy:	We respect our customers privacy. Your information will not be sold to an outside business, however, any relevant information must be made available to our partner companies and organizations if certain products ship directly from our partners.
