This Charter is granted as of this First day of August, 1999.
1. There is hereby established an integrated auxiliary of the LifeSpirit Congregational Church, known as The Online Cemetery (http://www.onlinecemetery.org/) Sponsored by LifeSpirit Center, hereinafter, OLC The initial address of the OLC is c/o LifeSpirit Center, PO Box 830, Newton, NJ 07860, or such other location(s) as may be determined by the Board of Trustees.
2. OLC is established for religious, charitable, educational, literary and scientific research purposes. It is non-sectarian and non-denominational. Its Mission is to provide religious, charitable, educational, literary and scientific research services, on a private, non-profit basis through the Online Cemetery internet facility, onlinecemetery.org, as more fully set forth in the Mission of the Online Cemetery, attached hereto and made a part hereof. OLC is an integrated auxiliary of the Church sponsored by LifeSpirit Center. The Board of Trustees of the Church is the Board of Trustees of OLC.
3. Appropriate persons may be invited by the Director to participate as Associates in the activities of OLC under its Rules. The Director may appoint and remove a Webmaster, an Assistant to the Director and Advisors and Associates of OLC, delegating specific responsibility to such Webmaster, Assistant and Associates in writing.
4. OLC shall be directed and supervised by a Director, appointed by the Board of Trustees of the Church for a three year term, with sole authority to direct the affairs of OLC pursuant to this Charter and the Rules. The Director, with the approval of a majority of the Board of Trustees, may adopt and amend Rules for OLC not inconsistent with this Charter. The term of the Director shall continue until replaced by a duly chosen successor.
5. There is hereby established, as a Trust of the Church, the Perpetual Maintenance Fund of the OLC. This Trust Fund is for the purpose of holding, investing, reinvesting and expending such portion of any funds which the OLC receives as may be determined from time to time by the Director and Board of Trustees, to be reasonably necessary, in the sole discretion of the Director and Board of Trustees, to reasonably perpetually maintain the onlinecemetery.org website.
6. The Director, as directing authority of OLC, shall have full and absolute power, control and authority over OLC, subject only to the limitations expressly stated in this Charter, including those expressed herein. With approval of a majority of the Board of Trustees, the Director, on behalf of OLC may:
(1) to purchase, lease or otherwise acquire real or other property, and to conserve or improve, or to sell, exchange, lease, mortgage, grant easements, pledge, or in any manner dispose of, encumber, improve or deal with the property of OLC or any part thereof or any interest therein, upon such terms and for such consideration as they deem proper;
(2) to incur indebtedness, borrow, or lend money with or without security; enter into contracts of all kinds; execute, accept, discount, negotiate and deal in commercial paper, evidence of indebtedness and securities or options of all types whatsoever; to purchase or otherwise acquire gold, silver, precious materials and objects of all types; and execute conveyances, mortgages, security agreements, leases, and any other instruments, all on behalf of OLC only and not as a charge against or obligation of LifeSpirit Center or LifeSpirit Congregational Church;
(3) to compromise or settle any suits, claims or demands, or waive any rights relating to the property of OLC;
(4) to appoint a webmaster, assistants, associates, teachers, ministers, officers, agents, attorneys, brokers, accountants, and servants, providing the same reasonable parsonage allowances, fees, commissions, salaries and expenses, as well as paying professional and other proper expenses (and to suspend or terminate any of them);
(5) to sue and prosecute and defend and all actions in Courts of Law or Equity and before Arbitration Tribunals, or elsewhere, affecting OLC or its property; and
(6) to be sole signatory for, and to implement and operate, such accounts and funds, in trust as aforesaid, as may be necessary to provide the Perpetual Maintenance Fund for the Online Cemetery.
7. The following limitations shall apply to the activities of OLC insofar as required by Section 501(c)(3) or other applicable section of the Internal Revenue Code:
(1) OLC shall carry on no activities not permitted to be carried on [1] by a body exempt from Federal income tax under section 501(c)(3) of the Internal Revenue Code (or the corresponding provision of any future United States internal revenue law) or [2] by a body, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code (or the corresponding provision of any future United States internal revenue law).
(2) No substantial part of the activities of OLC shall be carrying on propaganda or otherwise attempting to influence legislation, or participating in, or intervening in, any political campaign on behalf or any candidate for political office or public office.
(3) In the event of dissolution, all of the remaining assets and property of OLC shall, after necessary expenses, thereof, be distributed to such organizations as shall qualify under section 501(c)(3) of the Internal Revenue Code (or the corresponding provision of any future United States internal revenue law), and the purposes of which are compatible with the purposes of OLC.
(4) No part of the income of the OLC shall inure to the private benefit of any member, advisor, or official, or any private individual (except reasonable compensation for services to or for OLC) and no advisor or official of OLC, or any private individual, shall be entitled to share in the distribution of the assets on dissolution.
8. The Director, with the approval of a majority of the Board of Trustees, may appoint and remove qualified individuals as members of the Board of Advisors of OLC. Such persons shall include supporters of the work of OLC. The members of the Board of Advisors may make recommendations to the Director and Board of Trustees, and the Director or Board of Trustees may seek recommendations from the members of the Board of Advisors.
9. This Charter may be amended only upon the written request of the Director of OLC, approved unanimously by the Board of Trustees of the Church.
10. All disputes arising under, or involving the meaning of this Charter and the Rules, or among the members, associates, OLC, Church, Center and its agencies, shall be settled by mediation and binding arbitration. Any such dispute may be referred by any party for binding arbitration pursuant to the Rules then in effect, and under the auspices or, the American Arbitration Association, or such other arbitrator to which the parties may agree. The arbitration decision may be enforced in any tribunal of competent jurisdiction.
11. The initial Director of OLC is Rev. Ralph Fucetola, J.D.
12. The Church and Center reserve all rights, UCC 1-207.
