Constitution
Article I - Name
The name of said organization shall be the “SANTA CLARITA SOARING ASSOCIATION”; a non-profit corporation to be governed by a board of directors.
Article II - Purpose
Section 1.
The objective of the club shall be to promote flying and building of model sailplanes.
Section 2.
The club shall be an AMA (Academy of Model Aeronautics) chartered club, operated in accordance with such AMA requirements that apply.
Article III - Class of Membership
Section 1.
Family or adult membership: Members of the immediate family, including husband, wife, and juniors under the age of eighteen (18) who wish to participate in R/C soaring activities.
Section 2.
The annual dues and fees shall be determined by the board of directors.
Article IV - Membership Requirements
Section 1.
All members and their flying guests must have current AMA licenses.
Section 2.
Any potential new member must pay his/her dues upon joining the club .
Section 3.
All members must be current with their dues.
Section 4.
All members that fly on 50 mHz (Ham frequency) must have a current FCC (Federal Communication Commission) license.
Article V - Membership Termination
Section 1.
The membership of any individual may be terminated by a majority of the board of directors and formal notification thereof. The individual has the right to appeal to the board of directors within thirty (30) days of any termination action.
Section 2.
If a member considered for termination is an appointed board member, his vote is excluded from that of the remaining board of directors. Elected board members may be terminated only as defined in article XI.
Article VI - Meetings
Section 1.
The board of directors will schedule regular monthly general membership meetings.
Section 2.
All members shall be eligible to participate in and vote on subjects discussed at the meetings. Guests are encouraged to attend (but not vote at) such meetings.
Section 3.
Special meetings of the club shall be at any convenient time called by the President, provided that such call shall name the time and place of such meeting, and shall be issued at least ten (10) days in advance of such date.
Section 4.
Notice of changes of date or place of the regular meetings may be ordered by the President to avoid holidays or other special occasions.
Section 5.
The order of business at regular meetings shall be established by the President. Items generally considered are:
A. Reading of the minutes
B. Treasurer’s report
C. Committee reports
D. Presentation of new members
E. Old business
F. New business
G. Adjournment
H. Program
Article VII - Dues and Fees
Section 1.
The membership assessment for all applicants to the club shall consist of:
A. Annual club dues – Fiscal year is January 1 thru December 31.
B. Possible assessment of club members for equipment.
Section 2.
The annual club dues shall apply on a fiscal year basis and are due on January 1, and are delinquent after January 31. Delinquent memberships expire at 12:00 midnight January 31 and shall be dropped from the official club roster.
Section 2a.
Upon expiration or termination of any member, the said member must surrender all rights, privileges, votes, and equipment in his possession to an officer of the club within ten (10) days of such expiration or termination in accordance with the constitution, rules, and policies of the SCSA.
Section 2b.
Any member whose membership has expired, under the terms of this constitution and who wishes to be readmitted, shall be reinstated into the club under the same conditions and requirements of any new member.
Section 3.
The annual club dues shall be $15.00 a year. ($30 - 2006-2008)
Article VIII - Board Of Directors
Section 1.
A board of directors shall govern and manage the business affairs and property of the club. The board of directors will consist of elected officers and appointed members as defined herein.
Section 2.
The elected officers shall be:
A. President
B. Vice – President
C. Secretary
D. Treasurer
E. Special Assignment Coordinator
Section 3.
The President of the club, from the preceding year, shall automatically be a member of the board. If the past president declines, or is not available to serve, the position is considered vacant for the year.
Section 4.
The president shall complete the board of directors by additional members from the general membership to the extent that the board consists of no less than five (5) individuals and no more than nine (9).
Section 5.
The president shall call board meetings to the extent deemed necessary to properly enact the club business.
Article IX - Duties of Officers
Section 1.
President shall be required to:
A. Preside at all meetings
B. Have general supervision of the activities of the club.
C. Enforce this constitution
D. Chair the board of directors
Section 2.
Vice President shall be required to:
A. Act as president when he is unable to perform his duties and assume the presidency in the event of its vacancy.
B. Assume the duties of any other officer when directed to do so by the president.
Section 3.
Secretary shall be required to:
A. Keep the minutes of all meetings.
B. Handle all correspondence and records for the club.
C. Maintain membership records
Section 4.
Treasurer shall be required to:
A. Collect all club dues and fees.
B. Keep a record of all club expenditures and receipts.
C. Distribute funds as directed by the president
D. Receive contributions or specially obtained monies.
Section 5.
Equipment Manager shall be required to:
A. Keep a written inventory of all club equipment and make it available at the regular monthly meetings.
B. Insure that the equipment is in good running order and the batteries are charged after each use.
C. Insure that the proper equipment is delivered and setup at the flying site on time.
D.
Assign an alternate Equipment Manager to assist in the maintenance,
delivery, and setup of the equipment.
Section 6.
Appointed board members shall be required to:
A. Exercise their vote at the board meetings.
B. Assist in the direction of the club.
Article X - Term of Office
Section 1.
All elected officers shall serve for one (1) calendar year (from the first of January to the end of December of the subsequent year).
Section 2.
The nomination and election of officers shall be completed during the regular monthly meeting of November of each year.
Article XI - Removal And Vacancy
Section 1.
An officer may be removed by a two-thirds (2/3) vote of the members provided said motion was introduced by a petition at the previous regular meeting. Such a petition must contain causes for removal and signatures of two-thirds (2/3) of the members in good standing.
Section 2.
Vacancy in any office shall be filled by appointment by the board of directors (except as noted in Article IX, Section 2). Such appointees shall serve until the end of the term for which his predecessor was elected.
Article XII - Flying Rules
Section 1.
There shall be a list of flying rules to be followed and enforced by the club members.
Section 2.
Violations deemed serious by the board of directors may result in revoking club privileges. Such action may be taken with the approval of two-thirds (2/3) of the board of directors.
Article XIII - Amendments
Section 1.
Amendments or changes to this constitution require a majority vote at a regular membership meeting. Notice of the proposed changes shall be made to the membership at a previous meeting prior to the proposed change meeting.
Article XIV - Dissolution
Section 1.
In the event of dissolution, club assets shall be dispersed to a charitable organization at the discretion of the board of directors, after all club obligations or debts have been satisfied or paid.
Amendments to the Constitution
1. The fiscal year of the SCSA will be changed to begin November 1 and end November 1 of the following year. Effective August 6th, 1984.
